Paralegal:
Business Law - Hybrid 3 days onsite/week
We are seeking a highly motivated Paralegal – Business Law to become a key member of our legal team. The ideal candidate will support transactional and litigation matters, assist in corporate formations, maintain corporate governance documentation, and help with compliance issues. You will also work directly with clients, helping prepare contracts, organize due diligence materials, and support fundraising or exit transactions.
This role offers exposure to a wide variety of business legal matters, and an opportunity to grow in a specialized, fast-moving boutique firm.
- Transactional Support: Draft, review, and maintain business contracts (e.g. shareholder agreements, licensing agreements, vendor contracts).
- Entity Formation & Maintenance: Assist with incorporation, entity registration, annual maintenance, and corporate governance (minutes, resolutions).
- Due Diligence: Organize and manage due diligence data rooms for funding rounds, mergers and acquisitions, and company exits.
- Client Management: Interact with small business clients and entrepreneurs to gather information, prepare legal documentation, and communicate processes clearly.
- Regulatory Compliance: Help monitor and maintain compliance for clients across regulatory issues and business-specific legal requirements.
- Intellectual Property: Assist in trademark and copyright filings and maintenance.
- Litigation Support: Prepare pleadings, demand letters, discovery responses, and other litigation-related documents; help coordinate with external counsel if needed.
- Research: Conduct legal and business research to support attorneys in areas like employment law, securities, business disputes, and corporate strategy.
- Administrative Duties: Maintain file organization, billing records, and client communication logs; prepare internal reports and manage client intake.
- Paralegal certificate or equivalent relevant experience.
- Undergraduate degree preferred, preferably in Business, Finance, or a related field.
- 2+ years of paralegal experience (business law, corporate law, transactional work preferred).
- Strong written and verbal communication skills.
- Excellent organizational skills and attention to detail.
- Comfortable working in a fast-paced environment, with multiple clients and projects.
- Ability to work independently and as part of a small, close-knit team.
- Proficient with Microsoft Office; experience with document management systems (or CRMs) is a plus.
- Experience with due diligence, entity formation, and corporate filings highly desirable.
