Description

Afognak Native Corporation has an exciting opportunity for a Corporate Counsel
. The Corporate Counsel provides Afognak Native Corporation (Afognak), Alutiiq, LLC (Alutiiq) and their subsidiaries with accurate, timely and effective legal advice regarding federal government contracting law, corporate and business law, employment law and litigation. The position of Corporate Counsel reports to the VP of Compliance & Deputy General Counsel.

  • Draft, review, and negotiate contracts and other agreements including NDAs, Teaming agreements, consulting agreements, subcontracts, and real property leases.
  • Assist with management of litigation including the selection and management of outside counsel and litigation and settlement strategy, and represent and counsel entities on government contracts and disputes, including bid protests, contract and subcontract claims, investigations and disclosures, and litigation.
  • Assist operational personnel with non-litigation dispute resolution.
  • Provide legal advice to the corporation regarding regulations governing ANCSA corporations, the Shareholder annual meeting and election process (including the solicitation of proxies), and other corporate governance issues.
  • Assist with compliance with SBA regulations and participation in the 8(a) program, HUBZone program and Mentor-Protégé program, particularly as applicable to Alaska Native Corporations on such key topics as self-performance, affiliation, BAT mix, teaming relationships.
  • Assist with the acquisition and maintenance of appropriate business licenses, registrations and other legal documents required to perform work outside of the U.S.
  • Assist with matters regarding Small Business Administration (SBA) compliance in connection with participation in the SBA's 8(a) Business Development Program, Hub Zone Program and SDVO SBC Program.
  • Represent Afognak, Alutiiq and their subsidiaries in strategic acquisitions and joint ventures; conduct due diligence investigations; structure transactions; and negotiate and draft key transaction documents.
  • Assist with the review of bank financing documents including annual renewal of line of credit; modular lease financing transactions; commercial lending transactions; and other credit facilities.
  • Assist with the protection of Afognak, Alutiiq, and their subsidiaries' trademarks, patents and other intellectual property.
  • Assist with corporate governance issues including the provision of legal advice to Afognak's Board of Directors and oversight of corporate books for Afognak, Alutiiq and their subsidiaries.
  • Assist with internal investigations.
  • Assist Alutiiq, LLC subsidiaries involved in bid protests, size protests, and requests for equitable adjustments.
  • Assist with other Legal Department special projects as assigned.

Payrate:$170,000 to $180,000 Annually

Requirements
  • J.D. from an accredited law school.
  • Minimum 5 years of experience practicing law.
  • Active member of the Alaska Bar Association.
  • Experience with federal laws, regulations and industry standards regarding federal government contracting.
  • Experience with the SBA's programs, particularly the SBA's 8(a) Business Development Program and its application to Alaska Native Corporations.
  • Experience with Alaska Native Corporation corporate governance issues, annual elections and proxy matters, and ANCSA.
  • Experience drafting, reviewing and negotiating contracts and other transactional documents.
  • Experience with general corporate and business law, and employment law.
  • Litigation experience or experience managing litigation and outside counsel.
  • Experience with international business compliance matters.
  • Strong legal writing and legal research skills.
  • Strong communication skills and analytical and strategic skills.
  • Ability to set priorities, organize resources, meet deadlines and balance competing demands.
  • Ability to work collaboratively within the Legal Department and to work collaboratively with other departments.
