We are looking for a Corporate Attorney specializing in Mergers and Acquisitions to support a variety of business transactions, including mergers, private offerings, capital restructurings, and related legal matters. The ideal candidate should possess significant experience in transactional work, holding either first or second chair responsibilities, and a strong foundation in corporate and contract law. Key responsibilities include structuring, negotiating, and executing mergers and acquisitions and other complex business transactions.
The role also involves drafting, reviewing, and negotiating various transaction documents such as purchase agreements and disclosure schedules, managing legal due diligence, coordinating transaction closings, and handling general corporate governance and contract matters.
The position requires 5 to 12 years of law firm experience, particularly in corporate and MandA transactions, demonstrating first or second chair involvement in handling complex business transactions. Candidates must exhibit strong drafting, analytical, and issue-spotting capabilities and the ability to manage multiple projects and deadlines concurrently. Admission to the Michigan bar is mandatory, or candidates should be willing to obtain this admission.
The successful attorney is expected to maintain regular communication with clients, providing high-quality and responsive service.
