Summary
Meta seeks an experienced attorney to join our Energy team as Associate General Counsel. This full-time position will report to the San Francisco-based Director & Associate General Counsel, Real Estate. You’ll work closely with Meta’s Energy Team, whose members are dispersed across the United States. The position is an in office position. As Meta’s third energy lawyer, you’ll play a crucial role in securing energy for our new and existing data centers.
You’ll also work on energy and carbon transactions to help Meta achieve its commitment to net-zero emissions.
Associate General Counsel - Energy Responsibilities:
Collaborate with Meta’s Energy Team to secure the essential energy infrastructure for our growing data center portfolio. This includes drafting and negotiating agreements with utilities, generation providers and energy transmission operators to expand their infrastructure for Meta’s data center load
Support the procurement of clean and renewable energy for Meta’s data centers. Given the geographic variety of our data center portfolio, you’ll work with various energy suppliers, including regulated and deregulated utilities, energy co-ops and other providers. These supply arrangements range from basic to “sleeved” and other highly structured energy supply arrangements, including developing new tariffs and programs
Provide in-house legal support for Meta’s monitoring and participation in utility regulatory proceedings that affect our energy supply, infrastructure and energy policy goals. This includes supporting regulatory matters impacting Meta’s energy access across North America, such as rate cases, rule makings and resource planning proceedings
Support Meta’s CaRE (Clean & Renewable Energy) Team with clean energy procurement including negotiating PPAs and sleeved PPAs, environmental attribute purchase agreements and energy storage agreements
Support Meta’s Energy Strategy Team on transactions focused on promoting new clean energy and carbon reduction and capture technologies
Help Meta’s Energy Contract Management Team with daily needs related to our portfolio of clean energy and carbon credit agreements
Identify issues and seek guidance from other subject matter experts (e.g., regulatory experts, risk management, finance, tax, etc.)
Hire, closely manage and direct outside counsel
J.D. degree (or foreign equivalent)
8+ years of experience as a practicing attorney structuring, drafting and negotiating energy or carbon transactions
Active membership in at least one US state bar and eligibility to obtain registered in-house counsel status (if required by the State Bar in the assigned work location)
Demonstrated drafting and negotiating skills
Solid business judgment and experience thinking strategically
Demonstrated experience prioritizing and managing multiple projects under tight deadlines
Effective interpersonal and communication skills, with a commitment to professionalism, collaboration and collegiality
Experience structuring, drafting and negotiating a wide range of energy and carbon transactions, including sleeved green energy supply arrangements, tariffs for industrial energy consumers (e.g., data center, manufacturing and similar projects), PPAs, environmental attribute purchase agreements, sleeved PPAs and energy storage agreements
Experience monitoring or participating in rate making and resource planning proceedings before public utilities commissions
Experience working at or with a technology company
Familiarity with various regulatory regimes that affect energy and commodities transactions
$202,000/year to $274,000/year + bonus + equity + benefits
