DescriptionOur Finance team requires a contractor to assist with stock services for acquisition employees and shareholders. The contractor will have stock admin experience, understanding equity programs (RSU stock options, ESPP), strong Excel and analytical skills. Preference for a CEP-designated contractor.
The contractor will play a key role in administering stock services, ensuring operations compliance, customer service, and collaboration. You will contribute to the design of acquisition strategies as a deal lead for acquisition stock transactions and implement integration plans related to stock and stock incentives.
Responsibilities- Review due diligence analysis of target company stock spreadsheet; audit issue resolution and recommendations.
- Model stock integration plans, converting target stock and incentives to cash and/or stock; model unique incentive and retention mechanisms.
- Review and approve vesting templates consistent with acquisition terms; upload outstanding/assumed equity awards into the stock management database.
- Define and coordinate processes to implement share exchanges and option assumptions.
- Present to target company employees on acquisition terms and ongoing equity.
- Post-close: manage delivery of cash and/or stock to shareholders and employees, monitor integration procedures, manage escrow release, address ongoing questions.
- Calculate and model re‑vesting of shares, options, restricted cash, cash-out of the merger, and process wires.
- Identify, recommend, and lead implementation of process improvements and productivity enhancements relating to stock acquisition and integration activities.
Coordinate efforts with Legal Counsel, Target Tax Counsel, HR Acquisitions team, Corporate Development, Acquisition Integration team, U.S. and non‑U.S. Payroll, Finance, and Target Company Management.
Skills & Qualifications• Stock plan, merger & acquisition experience
• Strong candidates with stock plan experience related to mergers & acquisitions.
• Intermediate level experience.
