Requirements- 4 to 6 years of experience in complex M&A and corporate transactions.
- Substantive experience managing private equity transactions and private company M&A.
- Proven ability to handle equity and asset purchase agreements, due diligence, and transaction execution.
- Familiarity with client management, third-party advisor coordination, and cross-functional teamwork.
- Excellent written and verbal communication, analytical, and project management skills.
- Georgia Bar admission required or ability to become admitted.
The Role
A leading AmLaw 100 firm is seeking a mid-level associate to join its nationally recognized M&A and Corporate Finance group in Atlanta. The team handles high-value transactions across a range of industries, with a focus on private equity and private target M&A. This is an opportunity to work directly with clients, investment bankers, and advisors on sophisticated deals with national and international scope.
Key Responsibilities- Lead and support M&A transactions from inception through closing.
- Draft and negotiate equity and asset purchase agreements and ancillary documents.
- Conduct legal due diligence and summarize findings for clients.
- Manage deal timelines, coordinate with internal teams, and communicate with stakeholders.
- Provide actionable, strategic advice to clients based on business and legal considerations.
- Participate in business development and client relationship management.
