Role Overview

Responsible for drafting, reviewing, and monitoring contracts relating to public sector technology sales, including License Agreements, Non-Disclosure Agreements, etc. Supporting day-to-day contract operations by acting as a liaison with outside counsel on legal matters; reviewing & managing commercial contract agreements; maintaining contract files and monitoring for compliance. Also supports the CEO & CFO on all legal matters, state registrations, certifications, and tax filing requirements.

Key Responsibilities Contract Execution, Administration & Compliance
  • Draft, review, and monitor commercial agreements, in collaboration with outside counsel as necessary, to include NDAs, SoWs, purchase orders, commercial software license agreements, and vendor agreements.
  • Detailed reviews of sales documents which include SoWs, proposals, quotes, licensing agreements and SLAs to ensure proposed terms and requirements are consistent across the board.
  • Participate in contract negotiations. This includes proposing revisions to draft document terms and conditions and participating as applicable in contract negotiations.
  • Storing, organizing, maintaining and tracking all contract-related documents.
  • Establishing, maintaining and monitoring detailed records of all contractual requirements and associated due dates. To include following up with any internal and external stakeholders to ensure all contractual requirements are met on time.
  • Keeping track of all contract expiration and renewal dates and following up with appropriate stakeholders to ensure no lapse occurs.
  • Ensuring compliance with federal government contractor requirements. This includes submitting annual SAM registration renewals, responding to the DCMA on contracting requests, SAM renewal updates, submitting any contracting document and deliverables outlined in our federal government contracts.
Legal and Regulatory
  • Assist on all legal matters. This includes reaching out to counsel for advice and guidance to resolve the issue.
  • Maintenance of patent and trademark files and acting as a liaison with external counsel on all patent matters. This includes, following up with the CEO and listed inventors on any open issues, ensuring that all patent application and maintenance fees are paid on time, and keeping detailed records of all patent applications and issued patents.
  • Filing registrations and certification documentation with state and federal entities.
  • Maintain records of all state or federal certifications and file renewal applications.
Other
  • Annual renewals on corporate insurance policies and bonds.
  • Assisting the CEO & CFO on individual projects and requests relating to contract administration.
  • Reports to CFO, working closely with CEO and COO.
Required

Skills and Qualifications
  • Must be legally authorized to work in the U.S. without employer sponsorship.
  • Bachelor’s in business, law, paralegal studies, business administration, or a related field,
  • 3-5 years of experience in a legal, contract administration, or paralegal role (Paralegal experience preferred).
  • Experience with government contracts (state and federal) preferred.
  • Meticulous attention to detail.
  • Strong organizational, analytical, writing and problem-solving skills.
  • Ability to proactively identify potential risks and issues when reviewing documents.
  • Outstanding communication and writing skills.
  • Ability to work in a fast-paced environment.
  • Adaptable and able to appropriately prioritize a challenging workload.
