Job Purpose:
Under general attorney/administrative supervision and according to established policies and procedures, the Corporate/Commercial Real Estate Legal Assistant/Paralegal is responsible for a variety of administrative and paralegal functions in support of attorneys within the corporate and commercial real estate legal departments. This position works independently, prepares and edits documents, manages files, and maintains positive contact and communications with clients, attorneys, and staff.
This role oversees drafting, filing, and maintenance of business entity documents for corporations, LLCs, and partnerships with state agencies, and prepares closing agendas, title searches, transaction documents, and post-closing title searches. The duties and responsibilities of this position require the incumbent to maintain confidentiality of client and firm matters at all times.
Duties & Responsibilities:
- Provide comprehensive legal and administrative support to attorneys in the corporate and commercial real estate practice areas, managing matters from inception through post-closing.
- Conduct conflict-of-interest checks; open, organize, maintain, and close client and transaction files; and maintain corporate books and records, including periodic review of inactive files.
- Monitor and distribute incoming and outgoing mail, including coordination with express delivery services.
- Answer and direct telephone calls; and maintain professional and confidential client communications.
- File all materials in a timely manner, including correspondence, and corporate books, minutes and summary sheets as necessary.
- Prepare due diligence request lists; guide and work with clients for the collection of due diligence information and materials; review and analyze documentation to assist attorneys with determining compliance with of transaction documents; and collaborate with clients, attorneys, and opposing counsel to resolve issues affecting closing timelines.
- Prepare, draft, edit, format, and proofread legal documents and correspondence, including entity formation and organizational documents.
- Obtain information for closing documents; prepare for and assist attorneys with closing statements and documents and post-closing details; and coordinate closing dates with all parties involved.
- Prepare title insurance reports, commitments, policies, affidavits, and endorsements; obtain municipal and state tax information; and correspond with title insurance companies to resolve underwriting matters and obtain authorizations.
- Conduct title and UCC searches and updates; analyze surveys, deed descriptions, and lien reports; coordinate multi-jurisdictional UCC searches and filings; and arrange for lien and mortgage discharges.
- Collaborate with other corporate department staff to assist in the preparation of annual minutes and monthly by-law letters for corporate clients.
- Maintain corporate client databases and records, ensuring accuracy and consistency across all systems, corporate books, and summary sheets; promptly record amendments relating to officers, stock ownership, addresses, and other corporate changes.
- Prepare and file corporate and transactional documents related to mergers, acquisitions, reorganizations, stock and asset sales, shareholder buy-outs, loan transactions, and related matters with appropriate state agencies.
- Manage attorney calendars and deadline reminder systems using electronic calendaring tools.
- Attend and participate in practice group meetings as requested.
- Operate office equipment and specialty software systems.
- Perform legal research as needed and identify and communicate potential legal or procedural issues to supervising attorneys.
- Provide back-up support for other transactional staff.
- Perform additional duties as assigned.
