Role Description
This is a full-time, on-site role for a Group Company Secretary located in Bhopal. The Group Company Secretary will be responsible for ensuring the company complies with legal and regulatory requirements, overseeing corporate governance, and maintaining statutory registers and records. Key responsibilities include coordinating board and committee meetings, preparing and analyzing agendas and minutes, liaising with regulatory authorities, advising on business matters related to compliance and governance, and handling filings as required by law.
The role also involves providing relevant guidance internally to ensure the organization operates within its legal framework.

Core (Technical / operational responsibilities e.g. functional duties, financial mgt., project management)
1.
Corporate Governance & Board Support – Organize board meetings, record minutes, and ensure timely follow-up on board resolutions. Advise on corporate governance best practices and ensure the board operates within regulatory and ethical standards.
2.
Legal & Regulatory Compliance – Ensure full compliance with corporate laws, SEBI regulations, and statutory filings. Maintain and update statutory records, ensuring timely submission of returns to regulatory authorities like RoC, NSE, BSE, and SEBI.
3.
Company Secretarial Services – Manage shareholder communications, issue notices for AGMs/EGMs, and facilitate smooth share transfers. Ensure all corporate filings related to mergers, acquisitions, and restructuring are completed accurately and on time.
4.
Advisory Assistance – Provide expert advice to the board and management on governance, compliance, and risk mitigation. Draft, review, and execute key corporate agreements, contracts, and policies to safeguard the company's interests.
5.
Corporate Finance & Compliance – Support financial reporting, ensuring disclosures align with regulatory requirements. Assist in corporate structuring, mergers, acquisitions, and financial transactions while ensuring compliance with statutory and taxation laws.
6.
CSR Compliance – Oversee Corporate Social Responsibility (CSR) initiatives and ensure compliance with CSR obligations. Monitor CSR spending, assess project impact, and align programs with the company's sustainability goals.
7.
Liaison with Regulators & External Authorities – Act as the company's key liaison with government bodies, ensuring smooth communication with regulatory authorities. Manage legal disputes, arbitration, and litigation by coordinating with external legal counsel.
8.
Record Management & Compliance Tracking – Maintain comprehensive corporate records, including shareholder agreements, Articles of Association, and compliance documents. Support internal and external audits, ensuring all documentation is up-to-date and aligned with legal requirements.
9.
Trade Mark & IPR Coordination – Manage the company's intellectual property portfolio, ensuring proper protection and registration of trademarks and patents. Coordinate with legal teams for IP litigation, ensuring all necessary documentation and compliance processes are in place.
PEOPLE MANAGEMENT (Responsibility for leading, motivating and developing staff, excludes supervisory responsibilities)
