This is a crucial role, looking for someone who has been a corporate lawyer working with deeptech clients OR a gov/federal lawyer with deep experience navigating strict defense industry governance and compliance. Both would be preferred.

Key Responsibilities- Build/scale Legal function: processes, tooling, templates for contracts, ToS, IP assignments, compliance workflows
- Structure, draft, negotiate complex commercial agreements with defense primes (RTX, L3
Harris, Raytheon), automotive OEMs, semiconductor partners - Partner with Engineering/Product on AI IP protection, model licensing, formal verification compliance, edge deployment regulations
Provide risk-weighted guidance balancing commercial velocity (10→100M ARR) against defense export controls (ITAR/EAR), data security, liability in safety-critical apps - Build efficient contract workflows coordinating Sales, Security, Engineering, external counsel
- Customer-facing negotiations with regulated enterprises and hyperscalers
- 8+ years in-house counsel experience at deep-tech, defense, or hardware startups (defense/auto/semi preferred)
- JD from accredited law school; active bar (MA/CA/any US state)
- Experience with ITAR/EAR export controls, government contracting, or safety-critical compliance (DO-178C, ISO 26262, etc.)
- Track record drafting/negotiating high-volume commercial tech contracts (SaaS + hardware/services)
- "Business-friendly" operator who enables velocity while protecting the company
- Deep-tech fluency: comfortable with AI IP, edge deployment constraints, formal verification
- Thrives in scrappy startup environments with high autonomy
