Private Funds Associate Attorney

We are seeking an experienced Private Funds Associate Attorney to join our in‑house legal team and support a sophisticated investment platform. This role is ideal for an attorney currently practicing at a large law firm who is looking to move in‑house and take on more direct ownership of fund formation and related legal matters. The position offers meaningful responsibility, close collaboration with internal stakeholders, and exposure to complex fund structures in a fast‑paced but collegial environment.

• Lead and support all aspects of private fund formation, including drafting, reviewing, and negotiating core fund documentation
• Work closely with internal investment, finance, tax, and compliance teams throughout the fund lifecycle
• Manage relationships with outside counsel and oversee legal work streams related to fund launches and ongoing matters
• Review and negotiate investor‑related documentation, including subscription agreements and side letters
• Provide legal support on fund governance, amendments, and regulatory considerations
• Assist with ongoing operational and legal matters relating to existing funds and management entities

• 3–8 years of experience practicing private funds or investment management law, preferably at a large or well‑regarded law firm
• Strong experience with fund formation and a high level of confidence drafting and negotiating fund documentation
• Excellent understanding of private investment fund structures and related legal considerations
• Ability to work independently while managing multiple priorities in a dynamic environment
• Strong communication skills and comfort working directly with business partners
• Interest in transitioning from a law firm environment into an in‑house role with long‑term growth potential
