IDEX are representing a leading insurance brokerage specializing exclusively in Representations & Warranties Insurance, advising private equity sponsors and strategic acquirers on complex M&A transactions across the U.S. market. The team is recognized for its technical expertise, market leadership, and deep relationships with insurers, law firms, and financial sponsors.
The Role
We are seeking a Senior Vice President to join their Boston-based RWI team. This is a client-facing, deal-driven role for an experienced M&A attorney looking to transition into a commercial advisory position at the forefront of the transactional insurance market.
The SVP will lead the placement and structuring of RWI policies on sophisticated transactions, act as a trusted advisor to private equity clients and deal counsel, and play a key role in business development and team leadership.
Key Responsibilities
- Lead the structuring, negotiation, and placement of RWI policies on middle-market and large-cap M&A transactions
- Serve as the primary client contact for private equity sponsors, corporate buyers, and their advisors
- Analyze transaction documentation, including purchase agreements and diligence materials, to assess risk and coverage considerations
- Negotiate policy terms and coverage enhancements with insurers
- Coordinate closely with deal counsel, bankers, and underwriters throughout live transactions
- Contribute to business development efforts and maintain key client and insurer relationships
- Mentor and support junior team members
Candidate Profile
- 3–7 years of experience at a leading corporate law firm
- Strong background in M&A transactions, including private equity–backed deals
- Admitted to practice and qualified in Massachusetts (Boston)
- Deep familiarity with purchase agreements, representations and warranties, and diligence processes
- Excellent commercial judgment and client-facing communication skills
- Ability to manage multiple transactions in a fast-paced, deadline-driven environment
