Commercial Counsel

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements (supply, OEM, distribution, software, services, tech licenses, development, NDAs).
• Advise internal teams—Sales, Finance, Business Management, Supply Chain—on contract terms and business risks.
• Support legal/trade compliance, regulatory matters, and contract performance.
• Maintain and improve contract templates, policies, and processes.
• Support corporate compliance programs (FCPA, export controls, ethics).
• Assist with due diligence, contract review, and integration for strategic transactions.
• Provide training on commercial legal topics.

• J.D. from an accredited U.S. law school.
• 7+ years legal experience, including 3+ years in commercial counseling.
• Strong preference for in‑house experience in manufacturing, energy, or technology.

• Strong knowledge of U.S. and international commercial law
• Proven ability to independently draft/negotiate complex agreements.
• Excellent written and verbal communication; able to translate legal issues for non‑legal audiences.
• Highly organized; able to manage multiple priorities in fast‑paced environments.
• Strong judgment; ability to assess and mitigate legal and business risks.
• Working knowledge of antitrust, IP licensing (plus), FCPA, and global anti‑bribery laws.
• Experience with international operations and global contract management.
