Duties and Responsibilities

• Draft, review, and negotiate agreements using playbooks and clause libraries., including:
  • Sell-side: payer/customer agreements, data sharing agreements, BAAs/DPAs, SaaS and technology agreements, MSAs, and SOWs
  • Buy-side: vendor, procurement, and operations agreements (IT/SaaS, professional services, logistics/delivery, marketing vendors, clinical vendors)
• Coordinate with relevant stakeholders to ensure contract terms are both favorable and operationally-minded
• Manage redlines, issues lists, internal alignment, and approval workflows through execution; memorialize deviations and approvals
• Maintain and improve templates, clause libraries, and playbooks to reduce cycle time and drive consistency
• Negotiate and document SLAs, support/uptime, data handling/retention, audit rights, business continuity, termination/transition assistance, and fee/charge guardrails

Healthcare Regulatory and Privacy Support

• Issue-spot and provide practical guidance on applicable laws and regulations, such as the Anti-Kickback Statute (AKS), Stark Law, False Claims Act, and FDA requirements relevant to screening and diagnostic testing, laboratory certifications, and telehealth operations.
• Support the Privacy team on HIPAA and data protection matters, including incident response, breach investigations, and privacy compliance activities.
• Partner with outside counsel on complex or novel regulatory questions; help implement recommendations.
• Identify and support the development of training materials and policy and procedure documents on relevant legal and business issues.
• Advise internal business partners on legal risk affecting their priorities the business and its strategies and collaborating on strategies to best manage identified risks.
• Partner with business functions such as Product, Regulatory Affairs, Clinical, and Marketing to ensure compliance with internal policies and regulatory and legal requirements.

Required Experience & Qualifications

• 5+ years of experience as an attorney at a law firm or in-house practicing in the digital health, life sciences or healthcare industries.
• Prior experience and familiarity with the legal and regulatory matters relevant to a digital health provider is required. Experience with reimbursement, licensure and credentialing matters will be an asset.
• General knowledge of business functions and processes at a digital health or healthcare company, with a working understanding and ability to identify, assess risk and problem solve for legal issues relevant to this business.
• Previous in-house experience will be an asset.

Education:

• J.D. degree from an accredited law school
