A leading corporate practice is seeking a mid-level M&A Associate to join a strong and active deal team in Denver.

This role is designed for an attorney who wants substantive responsibility on sophisticated domestic and cross-border transactions, direct exposure to major clients, and the opportunity to work closely with experienced deal lawyers across the United States, Europe, and the Middle East.

The practice advises clients across a broad range of industries, including financial services, telecommunications, media, real estate, and healthcare, with a particularly strong focus on complex private M&A and private equity transactions.

You will take a hands-on role in drafting and negotiating purchase agreements, shareholder agreements, operating agreements, ancillary transaction documents, and other corporate contracts.

The position will also involve managing due diligence processes, coordinating specialists and junior attorneys, overseeing transaction timelines, and working directly with clients, investment bankers, and other advisors.

As you develop within the team, you will also have opportunities to contribute to client relationship management, business development, mentoring, and broader practice initiatives.

• 4–6 years of corporate transactional experience
• Strong experience handling complex M&A transactions
• Meaningful exposure to private equity and private target M&A
• Experience drafting and negotiating equity and asset purchase agreements and related ancillary documents
• Experience managing legal due diligence and transaction processes
• Strong drafting, negotiation, analytical, and organizational skills
• The ability to manage multiple matters and deadlines with a high degree of independence
• Confidence interacting directly with clients, bankers, and other transaction participants
• A collaborative approach and the ability to assume significant responsibility
• A JD
• Previous experience working in a law firm
• Admission to, and good standing with, the Colorado Bar

Experience working with modern legal technology and an openness to incorporating appropriate AI-enabled tools into legal practice will also be valuable.
