Overview
Description: Consistent with the desire of Amneal Management and the Legal Department to enhance and strengthen the Company's existing legal team, the Legal Department requires an Associate Director, Corporate Contracts Manager and Legal Operations to focus on general contract review, contract strategies, including for functional teams in IT, Finance, Supply Chain, Quality, DSP, Specialty and Gx R&D and Clinical Operations, and Specialty and Gx Marketing, Alliance Management, Compliance and Corporate Procurement, and Facilities & Administrative Services.
Job Description: Consistent with the desire of Amneal Management and the Legal Department to enhance and strengthen the Company's existing legal team, the Legal Department requires an Associate Director, Corporate Contracts Manager and Legal Operations to focus on general contract review, contract strategies, including for functional teams in IT, Finance, Supply Chain, Quality, DSP, Specialty and Gx R&D and Clinical Operations, and Specialty and Gx Marketing, Alliance Management, Compliance and Corporate Procurement, and Facilities & Administrative Services.
Key Contract Types The following contracts include, but are not limited to:
- Confidential disclosure agreements
- Master services agreements and related SOWs and PSAs
- Consulting agreements, including HCP and non-HCP consulting agreements
- SaaS/software licensing agreements
- Manufacturing and supply agreements
- Logistics and warehousing agreements
The role will be heavily involved with Law Department operations, including budgeting, billing matters, and systems. It interfaces with all levels of management and collaborates between Finance, Legal and functional teams, as well as outside vendors.
The role is a managerial role and is initially contemplated to manage up to two or more colleagues, including:
- Possibly at the attorney level
- Over time possibly including paraprofessionals, contract managers, and/or administrative assistants
Project-Based Responsibilities
The role will have responsibility for important project-based work that requires leading cross-functional, inter-disciplinary teams. Projects are to be determined but may include (for example and illustration only):
- Development, implementation, integration, and training for a contract management system
- Leading a team that includes Finance, Corporate Procurement, IT, and Legal colleagues, as well as certain contract "super users" across the organization
Legal Operations Responsibilities
In addition, the role will have responsibility for Legal Operations matters, including without limitation:
- Company's contract management systems and tools
- Legal billing and budgeting systems and tools
- Assistance with hiring for the Department
- Independently draft and review, negotiate and finalize contracts on Amneal templates and third-party paper, including confidential disclosure agreements, master services agreements and related SOWs and PSAs, consulting agreements (including HCP and non-HCP), SaaS/software licensing agreements, manufacturing and supply agreements, logistics and warehousing agreements, and other commercial agreements. Develop junior resources with respect to contract drafting, review and negotiation capabilities. Conduct organizational training with respect to contract processes.
- Identify legal issues for management and functional team review; facilitate decision making and information sharing among functional groups; respond to legal questions from businesspersons relating to contract interpretation and management; optimize processes and pursue continuous process improvement to achieve contracting efficiencies. Lead projects and work on contracting systems to advance corporate strategies. Upgrade contract management tools; review and analyze available tools;
conduct vendor demos and evaluations of new technologies; work on continuous improvement of contract management, legal operations systems and tools. - Responsibility for Legal Operations, including implementation, maintenance and oversight of contract management systems and tools, integration and alignment of legal billing and budgeting systems with Law Department processes, and serving as key interface with indirect procurement for the Law Department budget; assist with and review all Law Department budgeting, participate in interview panels for new hires and assist with and support Department hiring practices.
- Perform cross-functional coordination with businesspersons requesting legal review or preparation of contracts to understand objectives and conduct review based on business needs; manage a team of attorneys, contract management professionals, para-professionals, and/or administrative assistants.
- Perform contract maintenance and lifecycle management, including amendments, uploading executed agreements and related functions; ensure compliance with company policies regarding contract approval authority and valid execution; oversee data entry to ensure accurate records.…
