Position Overview
We areseekingan experienced and highly skilled
Corporate Legal Counselto join our team. This role will focus on securities law, public policy, and regulatory compliance for investment dealers and marketplaces, with a strong emphasis on the fast-evolving cryptocurrency sector.
The ideal candidate will be a strategic thinker with strong legal acumen, able to navigate complex regulations while enabling business growth. You will work closely with our compliance, product, and executive teams to ensure
Ndaxcontinues to meet and exceed all legal and regulatory obligations.
Key Responsibilities
Monitor, interpret, and provide strategic legal guidance on all applicable laws, regulations, and policies affecting Ndax, including but not limited to securities legislation, investment dealer and marketplace regulations, privacy laws, and other relevant compliance frameworks.
Review, update, and develop company policies to ensure alignment with evolving regulatory requirements.
Analyze if potential cryptocurrency assets meet the definition of securities and prepare clear, concise legal summaries to inform business decisions.
Assist the compliance department with escalated client complaints, dispute resolution, and management of legal proceedings.
Draft, review, and negotiate NDAs and other corporate contracts and service agreements.
Provide guidance on public policy matters and represent Ndax’s interests in discussions with regulators, industry bodies, and other stakeholders.
Stay current with emerging developments in cryptocurrency regulation, securities law, and financial services compliance.
Law degree (LL.B. or J.D.) from a recognized institution; active membership in good standing with a Canadian provincial law society.
Minimum 5 years of experience in securities law, regulatory compliance, or related practice area.
In-depth knowledge of Canadian securities regulations, including investment dealer and marketplace rules.
Strong legal drafting, negotiation, and analytical skills.
Excellent communication skills with the ability to convey complex legal concepts to non-legal stakeholders.
Preferred
Experience in the cryptocurrency, fintech, or financial markets sector.
Prior work in or with regulatory bodies, investment dealers, or marketplaces.
Background in public policy, advocacy, or government relations.
