Our Corporate Department is currently seeking an Intermediate Corporate Paralegal to join our dynamic team of legal professionals. The ideal candidate will be a confident, proactive, highly detail-oriented team player who possesses excellent organizational skills. Working with an exception team of corporate paralegals, articling students, lawyers and clients, it is expected that the candidate will be able to manage a high volume of work with tight turnaround times.

Principal

Duties & Responsibilities:

  • Responsible for maintaining and updating Alberta registered office files including, preparing and filing annual returns and annual resolutions; preparation of documents to support changes to officers, directors and shareholders
  • Drafting documents related to incorporations, amendments, arrangements, dissolutions, revivals, wind-ups, continuances, short and long form amalgamations, both provincial and federal, as well as the formation and organization of limited partnerships and extra-provincial registrations, amendments, amalgamations and reinstatements
  • Drafting resolutions, notices, agreements, and other ancillary documents connected with complex transactions for domestic and foreign entities
  • Drafting share issuances, transfer, dividends, redemptions and repurchases
  • Supporting transaction teams in asset/share purchase and sale transactions and closings
  • Organizing, maintaining and updating corporate files and records in an electronic entity management system
  • Conducting basic and complex minute book and corporate records reviews, recommending a course of action to rectify deficiencies and drafting necessary documentation
  • Preparing and processing all related filings in compliance with Alberta Registry
  • NWPTA related filings
  • Providing support to and liaising with lawyers, students, legal assistants and out-of-province agents
  • Administrative duties such as time entries, maintaining ALF database and other misc. tasks associated with day-to-day duties
  • Engage in team support when appropriate and necessary
  • May perform other duties or projects, as assigned
  • Required Knowledge and

    Experience:

  • 4+ years of intermediate level corporate paralegal experience working on a variety of complex corporate transactional matters. Strong junior level corporate paralegal experience may also be considered
  • CORES Level II
  • Extensive knowledge in the preparation and filing requirements pursuant to the Business Corporations Act (Alberta) and the Partnership Act (Alberta)
  • Experience maintaining databases and online filings
  • Technical proficiency using the entire MS Office Suite
  • Proficiency in iManage, CMS accounting system and ALF corporate maintenance software system, considered an asset
