We’re seeking a strategic and business‑minded General Counsel & Corporate Secretary to join our Executive Leadership team. In this critical role, you will lead all legal, regulatory, and governance functions for the Corporation and its affiliates, supporting major strategic initiatives and ensuring strong governance across the organization. If you are a senior legal leader who thrives in a dynamic environment and enjoys partnering closely with executives and Boards, this is a unique opportunity to shape the future of our organization.
What You Will Do  Legal Advisory & Risk Management   Serve as the senior legal advisor to the CEO, Board, and executive team.
Guide corporate, regulatory, labor, contractual, and IP matters.
Oversee litigation, regulatory inquiries, and compliance programs.
Build strong relationships with regulators, industry partners, and external counsel.
Corporate Governance   Serve as Corporate Secretary to the Board and Committees.
Lead governance practices, statutory filings, minute books, and corporate records.
Support Board evaluations, succession planning, and director onboarding.
Strategic Transactions   Lead legal strategy for M&A, divestitures, joint ventures, and financings.
Oversee due diligence, negotiate complex agreements, and ensure alignment with business strategy.
ESG & Sustainability Governance   Support ESG policies, disclosures, and compliance with emerging requirements.
What You Will Bring   JD or equivalent; licensed and in good standing.
10+ years of progressive legal experience, including 5+ years in senior leadership.
Deep expertise in corporate law, governance, and regulatory compliance.
Proven experience advising Boards and managing complex transactions.
Knowledge of ESG frameworks and sustainability reporting.
Exceptional judgment, strategic thinking, and executive communication skills.
