We are seeking a highly skilled Senior Commercial Attorney with a strong background in commercial contracting and corporate transactions. The ideal candidate will bring extensive experience in negotiating, drafting, and reviewing complex commercial agreements, particularly within the property, insurance, venture capital, and financial services sectors.

This role extends beyond traditional legal advisory work and includes project management, legal solution development, technology implementation, compliance oversight, client engagement, and team leadership. The successful candidate will play a key role in delivering strategic, commercially focused legal support while contributing to broader cross-functional project initiatives.

Level: Senior Associate

• LLB or equivalent legal degree and admitted attorney.
• Minimum of 6 years’ post-qualification experience (PQE) in a commercial legal environment, with a strong focus on commercial and business law.
• Demonstrated expertise in commercial contracting, venture capital, and corporate transactions.
• Proven track record in negotiating and drafting commercial agreements within the property, insurance, venture capital, and financial services sectors.
• Strong numerical aptitude and financial acumen, with the ability to analyse complex financial terms and pricing structures in commercial agreements.
• Proven project management experience, including coordinating legal projects, managing timelines, and delivering outcomes within cross-functional teams.
• Demonstrated experience in compliance management, including developing and implementing compliance frameworks, policies, and procedures.
• Based in Cape Town.

• Draft, review, and negotiate a broad range of commercial contracts, including supply chain and procurement agreements within the mining sector.
• Ensure contractual compliance with applicable laws, client policies, and industry standards.
• Identify, assess, and advise on legal risks in commercial agreements, providing strategic and practical risk mitigation solutions.
• Lead negotiations with suppliers and third parties to secure commercially favourable outcomes.
• Review and analyse financial provisions, pricing structures, and payment terms to ensure commercial viability and accuracy.
• Provide clear, practical, and business-oriented advice on complex legal matters.
• Lead and support project implementation initiatives, including legal solution development, technology enablement, and cross-functional coordination, applying structured project management methodologies.
• Advise on venture capital structures, investment terms, and the commercial implications of funding rounds and equity transactions.
• Draft and negotiate venture capital documentation, including term sheets, shareholder agreements, subscription agreements, and related transaction documents.
• Lead and manage compliance initiatives, including regulatory monitoring and the implementation of compliance programmes.
• Build and maintain strong relationships with internal and external stakeholders.
• Demonstrate leadership capability while collaborating effectively within a legal team.
• Thrive in a dynamic, fast-paced environment, managing multiple priorities with professionalism and accountability.
