The Contracts Manager is responsible for the day-to-day contractual management, enforcement and protection of Red Rocket’s operating Independent Power Producer (“IPP”) portfolio.
The role supports Legal Counsel:
Construction and Operations (“LCCO”) and the Facilities Manager/ Project Manager by ensuring that contractual obligations are properly managed during operations, operational risks are controlled and contractual rights are enforced against counter parties including O&M Contractors, Original Equipment Manufacturers, Service Providers, Grid Operators, Off-takers, Buyer, Grid Access Unit, National Transmission Company, and other stakeholders.
The role also provides the above contractual support to projects in construction where required.
Responsibilities:Operations and Maintenance:
- In enforcing the owner’s rights under the respective agreements and project documents.
- Administering and enforcing O&M contracts, long-term service agreements, OEM warranties, framework agreements, and related operational contracts.
- Establishing standard forms of contractual notices and communications.
- Reviewing representations made by the project and facility managers in the execution of their duties.
- Assisting and guiding the asset-management team with the set-up and creation of the project obligations tracker.
- Providing guidance to the asset-management team in the establishment and maintenance of contractual record-keeping.
- Challenging and defending claims, change proposals and variations under the respective contracts.
- Drafting claims and other contractual communications that may be required in terms of the project documents.
- From time to time where required by the business, the Contracts Manager will provide contractual support to construction and project execution activities under the oversight of the LCCO.
- Assist Project Managers with the administration of EPC, BOP, TSA or Early Works contracts.
- Drafting and reviewing contractual correspondence, notices and responses during construction.
- Supporting, preparing and assessing contractual construction claims, variations, extensions in line with the various contractual obligations of upstream and downstream agreements.
- Supporting dispute avoidance and dispute resolution processes arising from construction activities.
- Immediate escalation of contractual matters to the LCCO and any other identified persons where the matter meets with the commensurate level of risk for escalation.
- Routinely updating the LCCO and any other identified persons on emerging and ongoing contractual risks on relevant projects.
- Advising the LCCO and any other identified persons on proposed risk mitigation options and strategies.
- Supporting robust contractual record-keeping for operational correspondence, notices, and contractor interactions
Qualifications:
- LLB / BA (Law) / BCom (Law) preferred, with articles completed and admission as an attorney of the High Court
At least 3 years post-qualification experience in the:
- Drafting and negotiation of O&M and ancillary construction and service contracts.
- Management and administration of O&M contracts.
- Management and administration of contracts included in private off-taker and REIPPPP projects.
- Management and administration of EPC contracts.
Skills:
- Familiarity with conciliation, mediation and arbitration processes will be considered advantageous.
- Presentation skills will be considered advantageous.
