Senior Corporate Counsel – Position Summary
The Senior Corporate Counsel will serve as a key legal advisor to the business, leading complex commercial transactions, managing global legal matters, and supporting strategic initiatives across the organization. This role requires a seasoned attorney with deep commercial, compliance, privacy, and international experience, capable of operating in a fast‑moving, high‑growth environment.
Key ResponsibilitiesCommercial & Technology Transactions
- Lead the drafting, negotiation, and execution of complex, multiyear commercial agreements, including inbound/outbound IP licenses, professional services agreements, and hardware sales contracts.
- Structure, negotiate, and manage procurement and vendor agreements.
- Oversee open‑source licensing strategy and compliance across all products and services.
International Legal Support
- Manage cross‑border negotiations and collaborate with local counsel in multiple jurisdictions.
- Navigate diverse cultural and legal environments to support global business operations.
Litigation, Compliance & Risk
- Direct litigation strategy in partnership with outside counsel, including case assessment and risk management.
- Develop and implement compliance programs, including FCPA diligence, policy development, employee training, and internal investigations.
- Maintain corporate insurance programs, manage renewals, and oversee claims.
Corporate Governance & Employment
- Support corporate governance activities, including corporate secretarial duties and preparation of board‑level materials.
- Advise on employment matters such as hiring, performance management, and workplace policies.
Intellectual Property & Data Privacy
- Oversee IP portfolio management, including trademarks, patents, and related filings.
- Provide guidance on global data privacy compliance, including GDPR, UK DPA, PIPEDA, PDPA (Singapore/Malaysia), and Colombia’s Law 1581.
Leadership & Cross‑Functional Support
- Advise senior leadership and cross‑functional teams on legal, strategic, and operational issues.
- Prepare executive‑level presentations and reports for senior management and the Board of Directors.
- Minimum of 10 years of legal practice, including at least 5 years in a law firm and 5 years as in‑house counsel.
- Demonstrated ability to exercise sound judgment in fast‑paced, dynamic environments.
- Strong business acumen with a practical, solutions‑oriented approach to legal issues.
- Proven ability to manage ambiguity, shifting priorities, and complex cross‑functional initiatives.
- International legal experience, ideally involving Canada, Colombia, the UK, Singapore, Malaysia, or India.
- Exceptional communication skills, with the ability to convey complex issues clearly and without unnecessary legal jargon.
- Ability to build strong, collaborative relationships across the organization.
- Juris Doctor (J.D.) from an ABA‑accredited law school.
- Active admission to the North Carolina Bar or eligibility for admission via reciprocity.
- Ability to provide three professional references, including two who can speak directly to legal expertise.
