The firm advises prominent lenders, sponsors, and private investment funds on complex credit facilities and is known for delivering business-oriented counsel on high-value finance transactions.
Role OverviewThe client is seeking a mid-level transactional associate with 3–5 years of fund finance experience, with demonstrated proficiency in subscription and capital call facilities. This role requires comfort drafting and negotiating core credit documents, managing deal processes independently, and communicating confidently with sophisticated lender and sponsor clients. Experience with NAV facilities, hybrid facilities, or representing both lenders and borrowers is a plus.
What You'll Do- Draft, revise, and negotiate key fund finance documents, including credit agreements, collateral documents, and guarantees.
- Take ownership of deal work streams, including diligence review on fund documents, issue spotting, and managing closing mechanics.
- Work closely with internal specialists, including tax, regulatory, and real estate teams, to provide integrated, client-ready advice.
- Manage deal calendars and drive internal and external communications to ensure transactions move forward efficiently.
- Lead diligence on fund documents with a focus on borrowing authority, investor exclusions, and collateral packages.
- Provide practical, business-aligned advice to lender and sponsor clients to help translate legal risk into actionable options.
- A transactional associate with 3–5 years of fund finance experience, specifically including subscription and capital call facilities.
- Comfortable drafting and negotiating credit agreements, collateral documents, guarantees, and related fund finance documentation.
- Able to manage deal processes independently, communicate clearly with sophisticated clients, and coordinate efficiently across internal and external teams.
- Experienced with NAV facilities, hybrid facilities, or representing both lenders and borrowers, preferred but not required.
- Currently an active member in good standing with the NC bar, or eligible for North Carolina Bar admission.
