The Senior Manager of Tax will lead the partnership tax function supporting the company’s private equity ownership structure, investors, and ongoing M&A activity. This position will partner closely with the VP of Tax, external investors, internal finance leadership, and outside tax advisors to ensure complex partnership tax matters are handled accurately, efficiently, and on a timely basis.

The role will be heavily focused on partnership tax compliance, quarterly estimates, capital account and cap table management, acquisition-related tax matters, and post-acquisition integration. The individual will also provide oversight of the company’s international tax activities, including Pillar Two, transfer pricing, and foreign tax compliance, all of which are currently supported by external advisors.

This is an opportunity to build greater internal tax capability, improve responsiveness, and evaluate which activities should be brought in-house to reduce costs and increase efficiency.

Key Responsibilities:

Partnership Tax and Investor Support
  • Serve as the primary internal resource for partnership tax matters related to the private equity ownership structure and external investors.
  • Manage the day-to-day partnership tax function, including quarterly tax estimates, investor-related requests, and coordination of annual compliance activities.
  • Work closely with the Head of Tax and external investors to address tax questions, provide required information, and ensure timely completion of deliverables.
  • Oversee outside tax advisors responsible for partnership tax compliance and related technical work.
  • Monitor advisor performance, timelines, and responsiveness, and ensure deliverables are completed accurately and on schedule.
  • Support complex partnership tax matters, including Section 743(b) adjustments, partnership basis step-ups, upper-tier partnership issues, and related allocations.
  • Coordinate with external advisors on complex technical calculations rather than independently preparing all analyses.
Cap Table and Equity Administration
  • Take primary ownership of the company’s tax-related cap table process.
  • Reconstruct and maintain cap table information using historical transaction and ownership data.
  • Improve the accuracy, timeliness, and internal visibility of investor ownership, capital accounts, and equity activity.
  • Support equity rollover transactions and other ownership changes resulting from acquisitions.
  • Identify opportunities to bring cap table administration and related activities in-house to improve efficiency and reduce reliance on external providers.
M&A and Post-Acquisition Integration
  • Support the tax aspects of acquisitions, equity rollovers, and other strategic transactions.
  • Partner with the Head of Tax, deal teams, external advisors, and investors throughout the transaction lifecycle.
  • Assist with the creation of new legal entities and ownership structures resulting from M&A activity.
  • Help coordinate tax integration activities following acquisitions, including entity setup, partnership reporting, cap table updates, and alignment of tax processes.
  • Evaluate the tax implications of transaction structures and help ensure required actions are completed following close.
International Tax Oversight (less than 20% of the role)
  • Oversee the company’s international tax compliance and reporting activities, which are primarily outsourced.
  • Coordinate with external advisors to ensure foreign tax returns, transfer pricing requirements, and other international filings are completed accurately and on time.
  • Monitor the company’s Pillar Two readiness and ensure appropriate processes and documentation are in place.
  • Manage international tax projects and advisor relationships without directly supervising a team of international tax specialists.
  • Stay informed of international tax developments that may affect the company’s expanding European operations.
Process Improvement and Insourcing Strategy
  • Evaluate which tax activities should remain outsourced and which should be brought in-house based on cost, complexity, risk, and internal capacity.
