Tax Senior Manager – Transaction Advisory

Our client is a Big 4-caliber transaction services boutique with a dedicated tax due diligence and M&A advisory practice. The Charlotte office serves as a regional hub for PE sponsor work across the Southeast, and the tax group is heavily involved in buy-side diligence, quality of earnings reviews, and post-close restructuring engagements.

As Tax Senior Manager – Transaction Advisory you will lead tax due diligence projects from scoping through report delivery, identifying exposures across federal, state, and international tax dimensions. You will advise on deal structuring alternatives, purchase price adjustments, rep and warranty insurance considerations, and post-acquisition integration planning.

This role offers intense exposure to complex deal activity in a fast-paced environment. High performers regularly advance to Director or Managing Director within 18–24 months.

• CPA required; JD or LLM in Taxation a strong plus
• 9+ years of tax experience with at least 3 years focused on M&A tax due diligence or transaction structuring
• Strong technical proficiency in corporate and partnership taxation, purchase price allocations, and Section 338 elections
• Prior Big 4 or large regional firm transaction advisory experience strongly preferred
• Ability to manage multiple concurrent deals under tight timelines
