Reporting to the Senior Vice President, Human Resources, Total Rewards and Governance, the Vice President, Executive Compensation, Policy & Governance is a senior leader accountable for enterprise-wide executive compensation strategy and employee compensation policies and practices.
This role is a vital member of the Total Rewards Leadership Team with responsibilities including:
- designing and delivering an executive compensation program that is aligned with TD's strategy and drives business performance
- overseeing employee compensation policies and programs that provide market competitive pay and achieve pay equity objectives
- overseeing the accurate forecasting and expensing of >$4
Billion in incentive compensation annually, including close interaction with HR and finance partners - ensuring the design of TD's compensation programs are consistent with regulatory requirements and expectations globally
- supporting the Human Resources Committee of the Board and the effective communication of the bank's compensation practices, including development of the compensation section of the proxy circular and any related external stakeholder engagement
As a key partner, this VP Human Resources collaborates closely with senior business leaders, other total rewards leaders, and enterprise HR groups to develop, execute, and communicate executive and employee compensation programs and initiatives that drive business performance and align with all relevant regulatory requirements.
Accountabilities- Lead enterprise strategy, standards, and governance for Executive Compensation, Compensation Policy, and Compensation Governance.
- Lead the design, execution and governance of enterprise incentive plans - the Executive Compensation Plan and the Employee Incentive Plan.
- Primary support for the Human Resources Committee (HRC), managing all governance materials, processes, and stakeholder relationships, including interaction with the independent advisor.
- Lead design and delivery of all deferred compensation plans for the Bank.
- Oversee development and delivery of compensation disclosure, including CD&A and regulatory filings.
- Manage engagement with shareholders, proxy advisors, and investors.
- Own enterprise compensation policies, including salary ranges and guidelines.
- Lead TD's global pay equity mandate and ensure compliance.
- Partner with Finance and HR on forecasting, accruals, and governance.
- Monitor global regulatory changes and implement required adjustments.
- Oversee compensation‑related audits and regulatory reviews globally.
- Contribute to the Total Rewards vision, strategy and long‑term planning activities, and translate short‑ and medium‑term business and functional strategies into operating plans.
