About the RoleThe Commercial Counsel – North America’s primary function is to negotiate commercial customer and vendor agreements, including revenue‑generating and data privacy agreements with U.S., Canada, and Latin America counterparts. This is an excellent opportunity for a privacy‑focused commercial negotiator looking to play a critical part in the expansion in some of Airship’s key markets. This role can be based anywhere in the United States.
You will report to our VP, Legal and work cross‑functionally with Revenue, Finance, Security and IT teams to drive business growth.
- Negotiate revenue‑generating SaaS customer contracts and data privacy agreements with North America‑based customers as primary focus
- Work closely with cross‑functional teams to address customer questions on privacy, security, and AI compliance matters
- Advise on the business impact of changes to local laws and regulations within North America, particularly with a focus on data privacy, AI regulations, and digital compliance requirements
- Create and refine templates, policies, and processes to allow the Legal team to scale as business expands
- Negotiate vendor agreements, partnership agreements, and other commercial contracts to support business operations
- Assist Go‑to‑Market teams with training on commercial contract procedures and data privacy policies, and support the development of appropriate internal controls
- Develop a close working relationship with the company's North America leadership and global business partners in Sales, Account Management, Partnership, Finance, Security and other departments to ensure strong alignment with the Legal team
- Assist with other strategic projects as needed to support the success of our Legal team
- 6–8 years of substantive commercial transactions experience, with the primary experience in-house at a SaaS technology company
- Expertise in drafting and negotiating a variety of commercial and tech transactions typical to the SaaS technology sector, such as Subscription Agreements, Services Agreements, Data Processing Agreements, vendor agreements, and technology partnership agreements, ideally both for direct sales and channel sales
- Significant experience with privacy and data protection laws, regulations and standards, preferably in the technology context, including TCPA, CAN‑SPAM, and U.S. state privacy laws such as CCPA/CPRA
- Understanding of AI governance frameworks, ethical AI principles, including algorithmic fairness, transparency, and accountability, and IP issues arising from AI usage, as they relate to commercial agreements
- Experience collaborating with cross‑functional teams such as Sales, Deal Desk/Finance, and Security, to effectively negotiate agreements and drive business forward
- Ability to provide clear, concise and actionable guidance on complicated legal questions to non‑attorney stakeholders
- Exceptional written, verbal and interpersonal communication skills in English are required
