Corporate Paralegal
Hinshaw & Culbertson LLP, a national law firm, is hiring a full‑time Corporate Paralegal in its Chicago office. The role supports the Commercial Transactions Practice Group and involves entity formation, maintenance, dissolution, M&A, lending, and filing of business and UCC documents. Position SummarySupport the Commercial Transactions Practice Group by managing corporate documents, filings, due diligence, transaction closings, and legal research.
Duties and Responsibilities- Communicate with clients, vendors, and counsel.
- Maintain and manage deadlines for filing corporate annual reports, state filings, and FinCEN reports.
- Prepare and review UCC filings and documentation.
- Order and secure duplicate tax bills, certified copies of documents, and certificates of good standing.
- Review due diligence materials and client records.
- Assist with corporate and loan transaction research.
- Order and review tract, ownership, judgment, UCC, tax lien, litigation, and bankruptcy searches.
- Assist attorneys with business and loan transactions.
- Coordinate transaction closings and prepare closing documents and correspondence.
- Distribute post‑closing documents and related materials.
- Prepare and analyze mortgages, assignments, and related financing documents.
- Prepare and analyze loan documents and due diligence materials.
- Minimum of three years as a corporate or transactional paralegal in a law firm;
Bachelor’s degree or paralegal certificate required. - Proficiency with Microsoft Word, Excel, internet software; experience with iManage, MyDec, and real‑estate software a plus.
- Strong knowledge of corporate entity formation, annual report filing, minute book maintenance, EIN and UCC filings.
- Familiarity with Illinois, Delaware, and Florida Secretary of State business websites.
- Knowledge of the Corporate Transparency Act.
- Ability to read and understand legal descriptions, title reports, leases, loan documents, purchase agreements, and contracts.
- Excellent written and verbal communication and interpersonal skills.
- Strong organizational skills, attention to detail, and ability to work in a fast‑paced environment.
- Proactive matter management, independent action, and risk assessment.
- Commitment to confidentiality and compliance with instructions.
