Vice President, Head of Legal - North America (Manufacturing & Transportation Industries) at Larson Maddox

Summary:

Our client, a reputable manufacturer out of the Northern suburbs of Chicago, is seeking a highly skilled and business-oriented Corporate Counsel with expertise in Mergers & Acquisitions (M&A) and/or Securities Law to join their dynamic legal team. This role will focus on supporting the company's strategic growth initiatives, including domestic and international M&A transactions, venture investments, and joint ventures, as well as ensuring compliance with U.S. securities laws and SEC reporting obligations.

Key Responsibilities
  • Lead and support legal aspects of M&A transactions, including due diligence, structuring, negotiation, and integration.
  • Advise on venture capital investments, strategic partnerships, and other corporate development activities.
  • Manage and ensure compliance with SEC regulations, including preparation and review of periodic filings (10-K, 10-Q, 8‑K, proxy statements, etc.).
  • Provide legal guidance on corporate governance matters and support Board and committee activities.
  • Collaborate with cross‑functional teams including Finance, Corporate Development, and Investor Relations.
  • Monitor legal and regulatory developments in securities and M&A law and advise stakeholders accordingly.
  • Manage external counsel and legal budgets related to M&A and securities matters.
Qualifications
  • J.D. from an accredited law school and admission to at least one U.S. state bar.
  • 5+ years of relevant experience in a top‑tier law firm and/or in‑house legal department.
  • Deep knowledge of U.S. securities laws, SEC reporting, and corporate governance.
  • Significant experience leading M&A transactions and venture investments.
  • Strong business acumen and ability to work effectively in a fast‑paced, collaborative environment.
  • Excellent communication, negotiation, and project management skills.
