Associate Attorney

Associate Attorney – Intellectual Property, Real Estate, or Financial Services

The successful candidate will draft, review, and negotiate a comprehensive range of documentation for commercial lending and finance transactions. The role involves working with large or small firms, providing partner tracks and the opportunity to shape a national practice that plans to open additional offices in the coming years.

• Documentation Management:
  Prepare and negotiate credit agreements, security agreements, intercreditor agreements, and ancillary deliverables.
• Transaction Support:
  Assist in all phases of transactions, from initial due diligence and structuring to closing and post‑closing matters.
• Legal Research:
  Conduct thorough legal research and analysis, focusing on Article 9 of the Uniform Commercial Code (UCC) and other pertinent regulations.
• Administrative Oversight:
  Manage transaction checklists and oversee administrative aspects to ensure smooth execution.
• Client Interaction:
  Serve as the primary point of contact for clients, opposing counsel, and other parties involved in transactions.
• Strategic Assistance:
  Support senior attorneys and partners in developing innovative solutions for complex legal challenges.
• Client Engagement:
  Participate in client meetings and strategy sessions to provide insights and recommendations.
• Financing Matters Support:
  Assist in diversified financing matters—secured and unsecured commercial lending, syndicated and bilateral financings, asset‑based lending (ABL), acquisitions, leveraged buyouts, commodity and specialty finance, loan workouts and restructurings.
• Communication:
  Maintain clear and effective communication with all internal and external stakeholders.

• Strong expertise in drafting and negotiating finance‑related documentation.
• Proficiency in legal research, particularly related to UCC Article 9.
• Excellent organizational skills and attention to detail.
• Effective communication and interpersonal skills.
• Ability to work collaboratively in a fast‑paced environment.
• Preferred:
  Prior experience in commercial lending and finance transactions.
