Our client, a global e‑commerce company, is seeking a Senior Counsel, Corporate & Securities who is an exceptional legal strategist and proactive business partner. This is a high‑impact, high‑visibility role for a leader who can not only manage public company obligations but also drive efficiency and innovation in legal operations. You will be a key advisor to senior leadership and the Board of Directors, ensuring corporate governance and transactions are executed with precision, speed, and strategic insight.

The ideal candidate will have 4+ years of experience in securities and capital markets, proven ability to independently manage complex filings and transactions, and strong organizational skills with the ability to handle multiple priorities under tight deadlines. This role offers unmatched visibility, strategic influence, and leadership opportunities for anyone aspiring to become a General Counsel.

• Oversee Section 16 filings and related reporting obligations.
• Prepare and manage board and committee meeting materials in partnership with senior leadership.
• Own the legal portions of all SEC filings and ensure ongoing compliance with SEC and exchange requirements.
• Drive M&A, divestitures, strategic investments, corporate financings, and other complex corporate transactions from term sheet through closing.
• Negotiate and draft transaction agreements, disclosure documents, and corporate governance materials.
• Partner with Communications, Investor Relations, Accounting, Treasury, and Tax on cross‑functional initiatives.

Base salary is expected $149,175 - $200,000, depending on qualifications and experience.
