WE ARE LOOKING FOR:
We’re seeking a Junior Corporate Counsel to join Plug and Play’s legal team. Working with our globally-recognized start-up accelerator programs worldwide, this Junior Corporate Counsel will gain valuable experience working side by side with our legal, investments, and accounting teams on all aspects of our investment diligence process for prospective portfolio companies. You will be exposed to a wide range of legal issues that are commonly dealt with by an in-house legal department.
The role is particularly well-suited for a recent law school graduate with a strong quantitative background who is interested in business law and startups. We are especially interested in meeting candidates who are academically accomplished, team-oriented, self-motivated, and who possess excellent organizational skills.
RESPONSIBILITES:- Assist the legal team in conducting legal due diligence on prospective portfolio companies.
- Gather and organize diligence documents.
- Provide assistance with the management of internal records.
- Assist the legal team in preparing portfolio company investment documents.
- Assist with the organization and management of various types of transactions, including financings and acquisitions.
- Facilitate clear and consistent communication with startup founders, attorneys, and Plug and Play’s investment team.
- Review and summarize key terms of sophisticated venture capital financing documents for Plug and Play’s investment team.
- Maintain and update portfolio data through regular contact with our portfolio companies.
- Attend and record meetings with company founders and different departments within Plug and Play.
- Attend Expos, Demo Days, and other exclusive Plug & Play events.
- Learn the fundamentals of corporate governance and venture capital.
- Conduct investor-side legal due diligence.
- Develop a deep understanding of venture deals: SAFEs, convertible notes, cap tables, and preferred stock financings.
- Work alongside experienced members of our legal team, who will provide guidance and mentorship.
- As your knowledge and experience increases, you will take ownership of new and different initiatives that align with your interests.
- Excellent written communication skills.
- Proficient with Microsoft Office, particularly Microsoft Excel.
- Self-starter who seeks out new challenges.
- Able to understand and synthesize complex ideas.
- Strong quantitative background evidenced by previous positions and/or coursework.
- You take pride in your attention to detail and exercise precision in everything you do.
- Interested in the venture capital industry.
