The OEM Contracts Manager will be an expert-level contracts professional responsible for enterprise-wide contract strategy, policy development, governance, and oversight of highly complex agreements. This role provides strategic guidance to executive leadership on contractual risk, obligations, compliance, and business implications while establishing and maintaining contract administration standards across the organization. The ideal candidate will bring extensive experience managing complex commercial and government contracts, strong negotiation and influencing skills, and the ability to operate independently while serving as a trusted advisor to senior stakeholders.

OEM Contracts Manager Responsibilities:

  • Lead enterprise-wide contract administration strategy and governance practices.
  • Oversee and approve highly complex, high-risk, or strategically significant contracts.
  • Provide guidance to executive leadership regarding contractual obligations, exposure, risk, and mitigation strategies.
  • Develop, implement, and enforce enterprise-wide contract policies, standards, procedures, and best practices.
  • Lead the implementation, enhancement, and optimization of contract management systems and tools.
  • Represent the organization in key contract negotiations and external contractual discussions.
  • Supervise, mentor, or guide contract administration staff and support ongoing capability development.
  • Support enterprise decision-making related to contract governance, compliance, and risk management.
  • Support new business opportunities, proposal preparation, and related contractual activities.
  • Provide recommendations to company leadership regarding strategies and avenues for achieving successful business outcomes.
  • Develop negotiation planning and strategies for complex contractual matters.
  • Draft, review, revise, and red-line terms and conditions for both buyer and supplier agreements.
  • Manage multiple complex priorities while maintaining accuracy, efficiency, and adherence to deadlines.
  • Collaborate cross-functionally with business, legal, finance, procurement, and other stakeholders to ensure contractual objectives are achieved.

OEM Contracts Manager Requirements:

  • Bachelor’s degree in Business, Legal Studies, Finance, or a related discipline.
  • 6+ years of experience in contracts administration, contract management, legal operations, or a related field.
  • Expert knowledge of contract administration, contract risk management, governance, and applicable regulatory requirements.
  • Proven experience supporting enterprise-level contract functions and executive stakeholders.
  • Strong experience drafting, reviewing, red-lining, negotiating, and administering complex commercial contracts preferably in the aerospace industry.
  • Experience with both buyer and supplier agreements.
  • Working knowledge of FAR/DFARS.
  • Working knowledge of commercial contract law and the UCC.
  • Experience working with various contract forms and agreements, including ATPs, MOUs/MOAs, LTAs, Side Letters, Follow-on agreements, and similar contractual instruments.
  • Demonstrated experience developing negotiation plans and strategies.
  • Strong negotiation, influencing, analytical, and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Strong organizational and time-management abilities with the capacity to manage multiple priorities.
  • Proficiency with Microsoft Office, including Outlook, Word, Excel, and PowerPoint.
  • Ability to work independently, exercise sound judgment, and influence decisions at the enterprise level.
  • Demonstrated integrity, accountability, collaboration, and commitment to achieving organizational objectives.
  • Ability to build effective relationships with executives, internal stakeholders, external partners, and cross-functional teams.
