Associate General Counsel

We are seeking an experienced and strategic Associate General Counsel to lead our legal and compliance functions across the U.S and the APAC region for a leading digital retail company with multiple brands. This is a critical leadership role responsible for delivering practical legal guidance, managing risk, ensuring regulatory compliance, and partnering closely with business leaders to support the company's growth and operational goals.

Key Responsibilities:

Oversee the U.S. legal function including managing resources, building and overseeing the legal budget, and ensuring timely, collaborative legal support to internal partners.

Lead the compliance function for U.S. operations, with a focus on contracts, privacy, franchise laws, and compliance

Draft, review, and negotiate a wide range of commercial contracts, including confidentiality agreements, vendor contracts, data processing agreements, master services agreements, and related documents such as statements of work and amendments.

Support merger and acquisition (M&

A) activity, including due diligence and post-acquisition integration.

Collaborate with and manage outside counsel for jurisdiction-specific and specialized legal matters.

Provide proactive, strategic legal advice and excellent service to internal business clients.

Lead and manage special legal projects, including compliance initiatives and the implementation of tools and processes to support internal operations.

Qualifications &

Experience:

J.D. from an accredited law school and active bar membership.

7+ years of relevant legal experience, ideally including both law firm and in-house experience.

Expertise in corporate governance, employment law, commercial contracts, and regulatory compliance.

Requirements - Juris Doctor (JD) degree from an accredited law school.

- Active membership in at least one U.S. state bar.

- Minimum of 8 years of legal experience, ideally combining law firm and in-house roles.

- Proven expertise in franchise law, corporate governance, and privacy compliance.

- Demonstrated ability to draft and negotiate complex commercial contracts.

- Experience managing litigation and overseeing intellectual property matters.

- Strong background in corporate compliance and regulatory adherence.

- Familiarity with case management software and legal operations tools.
