Nominating Committee Member

The Nominating Committee Member serves as one of three individuals responsible for interviewing and evaluating prospective Board of Directors candidates for Northeastern REMC.
This role is critical to ensuring strong governance and strategic leadership for a progressive, member-focused electric distribution cooperative. Committee members help support the cooperative’s future by carefully assessing candidates’ qualifications, and alignment with the cooperative’s mission and strategic direction.
Key Responsibilities- Review board qualifications and eligibility requirements as defined by cooperative policy.
- Conduct structured, fair, and objective interviews with prospective board candidates.
- Evaluate candidates’ experience, ethical judgment, and strategic thinking.
- Assess alignment with the cooperative’s mission, values, and long-term vision.
- Consider candidates’ experience in governance, finance, risk oversight, technology, regulatory matters, and/or utility operations.
- Maintain strict confidentiality throughout the interview and evaluation process.
- Deliberate collaboratively with fellow committee members to determine recommended nominees.
- Promote diversity of thought, background, and professional expertise within board leadership.
- Must be a member of Northeastern REMC.
- Understanding of cooperative principles and member-owned business models.
- Demonstrated integrity, sound judgment, and impartiality.
- Excellent listening and interviewing skills.
- Ability to ask thoughtful, strategic questions.
- Commitment to fairness, objectivity, and confidentiality.
- Understanding of innovation in energy, technology, and member services.
- Ability to work collaboratively.
- Experience serving on boards, committees, or governance bodies.
- Familiarity with electric utilities or energy industry trends.
- Understanding of financial oversight and enterprise risk concepts.
- Participation in 3-10 candidate review meetings.
- Conducting interviews during the nomination cycle.
- Attendance 2-3 committee meetings.
- Act in the best interest of the cooperative membership.
- Remain impartial and avoid conflicts of interest.
- Uphold the cooperative’s values of innovation, accountability, and member service.
- Maintain professionalism and discretion throughout the nomination process.
