Chief Legal Officer/General Counsel – reports directly to Owner and President Overview
The Chief Legal Officer/General Counsel will be responsible for overseeing all legal matters of the Owner, including acting as the company’s legal representative and overseeing the legal department.
ResponsibilitiesSummary:
Chief Legal Officer/General Counsel will provide accurate, relevant, and timely advice to the Owner, President, and other members of the Executive Team. CLO/GC will promote legal, real estate, home sales, and land development contract review and negotiation, compliance and risk management and best practices throughout the company. CLO/GC will communicate with, or oversee others in the legal department, in the management of various third parties such as external legal counsel and litigation experts.
Additional duties include but are not limited to:
- Using their legal expertise in the real estate, home sales, and land development business to support all other departments within the company
- Structure, review, draft and negotiate a wide range of contracts and agreements
- Convey complicated information to the Owner and or President in a concise and professional manner
- Provide support regarding contract interpretation and guidance
- Provide strategic and practical advice to internal clients
- Identify and advise on laws and regulations pertaining to transactions
- Hold business partners accountable and ensure contractual obligations are met
- Manage legal department, including other legal counsel, paralegals, legal secretaries
- Draft or oversee all business operation loan and financing documents
- When outside counsel is engaged, responsible for reviewing, providing feedback and ultimately determining the firm’s interests within agreements
- Serve as point person, or oversee others in the legal department who are handling NDAs, LOIs, PSAs
- Drafting and preparation of leases
- Negotiation and preparation of vendor contracts
- Manage and mitigate legal risks by designing and implementing company policies and procedures
- Provide strategic and practical advice to HR on legal issues related to Company’s employees
- Government and regulatory compliance; including political contributions, stay up to date with changes to legislation, particularly in relation to laws, rules and regulations that directly affect the business and our specific industry
- Juris Doctorate degree required
- Admission to California state bar required
- 5+ years of active experience as a real estate, corporate lawyer, litigation experience a plus
- Experience drafting and negotiating fast paced and complex land and all aspects of complex commercial transactions (including without limitation, software license agreements, development agreements, CCRs, etc.)
- Driven team player
- Excellent verbal and written communication skills
- Experience working in-house.
