Corporate Counsel – Governance & Securities

• Assist with board and committee operations, including preparation of materials and governance documentation
• Maintain corporate formalities and ensure compliance with regulations across affiliated entities
• Design and implement scalable governance processes to support public company readiness
• Provide legal support for debt compliance and capital structure optimization
• Oversee the company’s equity plans and advise on share issuance and compliance with securities laws

• 5+ years of experience in corporate and securities law, including equity administration
• Juris Doctor (JD) from an accredited law school
• Active membership in good standing with at least one U.S. state bar
• Experience managing complex corporate transactions
• Strong knowledge of U.S. securities laws, including the 1933 and 1934 Acts

• Experience in Big Law corporate or capital markets practices; direct experience supporting an IPO or serving in a public company legal department
• Familiarity with equity platforms like Carta, Share works, or MS@Work
• Experience supporting large-scale financing events (private and/or public)
• Experience operating in a multi-entity structure with financial oversight discipline
