** Role Purpose
** This position supports Corning's Digital & Information Technology organization, with significant responsibility for negotiating and advising on information technology agreements, while also providing counsel on digital, cybersecurity, data governance, and emerging AI-related matters. The role reports to Senior Managing Counsel II, Digital & Information Technology within Corning's Law Department in the Compliance Center of Excellence. The role works closely with business clients and internal legal colleagues on a broad range of digital and information technology matters, including coordination with Compliance, Intellectual Property, Litigation, and Data Privacy partners as needed.

** Key Responsibilities*
* ** Transaction Support** + Negotiate, draft, review, and interpret a wide variety of information technology-related agreements, including software licenses, SaaS agreements, cloud services agreements, managed services agreements, professional services agreements, hardware agreements, and other commercial technology contracts + Advise business clients on legal and commercial terms involving information security, data use, intellectual property, confidentiality, service levels, indemnity, liability allocation, audit rights, and compliance obligations + Support technology procurement, implementation, and vendor contracting efforts by providing practical legal guidance aligned with business objectives + Develop, refine, and support contract templates, fallback language, and contracting workflows in collaboration with relevant stakeholder groups + Provide legal support in connection with software development, implementation, licensing, and related third-party development and services agreements + Review and advise on contract provisions relating to cybersecurity requirements, data handling, AI-related terms, business continuity, and regulatory compliance + Partner with internal stakeholders to support efficient contract review, issue escalation, and resolution of legal and commercial risks in technology transactions
