Corporate Counsel

A confidential, employee‑owned professional services firm is seeking an experienced attorney to join its in‑house legal team in Dallas. The firm supports clients across investment management, banking and capital markets, real estate, and insurance, providing integrated back‑ and middle‑office services including legal, compliance, finance, and operations support.

This role will work closely with asset management clients and internal stakeholders on a variety of legal, regulatory, and transactional matters.

• Serve as Corporate Secretary for client fund entities
• Support regulatory filings for public and private investment funds
• Prepare materials and reporting for board meetings (monthly and quarterly)
• Assist with compliance oversight for broker‑dealers and registered investment advisors
• Lead legal execution of special projects, including:
• Fund restructurings and conversions
• Corporate actions
• M&A transactions
• Coordinate with and manage external counsel relationships

• 4–8 years of experience at a top‑tier law firm or within a financial services, asset management, or investment advisory organization
• Experience in Corporate, Securities, or Investment Funds law
• JD from a reputable institution required
• Experience with M&A, capital markets, or leveraged finance preferred
• Familiarity with the Investment Company Act and/or Advisers Act is a plus
• Strong understanding of the financial services industry
• Excellent drafting, communication, and organizational skills
• Ability to manage multiple priorities in a fast‑paced environment
