- Design, implement, and manage executive compensation programs
- Lead base salary, annual incentive, long-term incentive, and special award programs
- Ensure compensation programs are competitive, performance-driven, and aligned with shareholder interests and company strategy
- Advise on compensation trends, emerging practices, regulatory changes, and proxy advisor perspectives
- Develop and oversee executive compensation job evaluation, leveling, and approval processes
- Prepare materials and analyses for the Compensation Committee and Board of Directors
- Present executive compensation recommendations and governance updates
- Support annual CD&A and executive compensation disclosures for proxy and SEC filings
- Manage the Board compensation consultant relationship
- Ensure compliance with SEC, IRS, stock exchange, and other regulatory requirements
- Manage risk assessments, pay-for-performance reviews, and shareholder engagement materials
- Partner with Legal, Finance, and Investor Relations on transparent disclosures
- Oversee equity grant cycles, incentive plans, and retention awards
- Lead competitive benchmarking using survey and peer group data
- Collaborate with Finance on budgeting, forecasting, and accounting implications
- Manage and develop a small team
- Bachelor's degree in Human Resources, Finance, Business Administration, or related field
- Extensive compensation experience with deep expertise in executive compensation
- Deep knowledge of executive compensation regulations, governance trends, and best practices
- Experience preparing materials for Compensation Committees and Boards of Directors
- Strong analytical and financial modeling skills
- Exceptional attention to detail
- Excellent communication and presentation skills
- Strategic mindset balancing competitiveness, cost, risk, and shareholder alignment
- High integrity, discretion, and judgment
- Proven leadership and talent development capabilities
- MBA or advanced degree preferred
Demonstrates expertise in designing and managing executive compensation programs, ensuring compliance with SEC and IRS regulations while aligning with company strategy and shareholder interests. Proven ability to prepare materials for Compensation Committees and Boards, coupled with strong analytical, financial modeling, and communication skills.
