Our client is seeking a Legal Counsel to support its U.S. and global expansion. As the sole U.S.
-based counsel, you'll advise on corporate and commercial matters, acquisitions, contracts, and post-merger integration while partnering with senior stakeholders. Covering California, Texas, New York, and Chicago, this role offers flexibility, growth, and the chance to shape legal strategy within a collaborative, international environment.
You will support the company's North American expansion by providing legal guidance on contracts, acquisitions, governance, and internal operations while working closely with senior leadership. You'll manage commercial agreements, oversee due‑diligence through integration, and serve as the primary U.S. legal contact with significant autonomy. Success depends on sound judgment, clear communication, and timely, trusted solutions that enable the organization's growth.
- Review, draft, and negotiate international commercial contracts to protect the company's interests and manage risk.
- Support client engagements and acquisitions by advising on terms, leading negotiations, and guiding due diligence through integration.
- Handle internal legal matters, including employment contracts, equity schemes, policies, and data protection.
- Serve as the primary U.S. legal contact, coordinating closely with the General Counsel and external counsel as needed.
- Contribute to governance and policy development while ensuring compliance across corporate and post‑acquisition activities.
You bring experience from top law firms and fast‑growing in‑house teams, giving you the ability to handle complex commercial agreements while balancing regulatory requirements with practical business needs. You work effectively across functions, build trust through clear communication and accurate work, and approach issues with pragmatic, solutions‑focused judgment. You must be admitted to practice in California, Texas, or New York.
- A minimum of four years of post‑qualification experience at a reputable U.S. or international law firm demonstrates your technical grounding across key legal areas.
- In‑house experience within a fast‑growing organization shows your adaptability and ability to support evolving business needs.
- Strong command of commercial contracts, governance matters, and employment‑related issues enables you to manage risk and ensure compliance.
- Ability to operate independently while collaborating closely with senior leadership reflects sound judgment and reliability.
