Compliance and Governance Executive Department: EGRCC Job Purpose
The Compliance and Governance Executive supports the Governance and Compliance Manager in developing, implementing, and maintaining comprehensive frameworks for compliance and corporate governance. The role ensures alignment with applicable laws, regulations, and internal policies, including those issued by the Capital Market Authority (CMA), Tadawul, and other relevant authorities. It promotes a culture of integrity, transparency, and risk awareness, mitigating governance and compliance risks.
Key Responsibilities- Assist in implementing and maintaining the company's compliance and corporate governance, ensuring alignment with applicable laws, regulations, and standards, including CMA Corporate Governance Regulations, Tadawul Listing Rules, Saudi Companies Law, COSO, ISO 37301, and ISO 37000.
- Assist in supporting the interpretation of regulatory changes, assessing their impact on company operations and governance, and conducting compliance activities to identify and address control gaps.
- Maintain accurate and comprehensive records under the supervision of the Compliance and Governance Manager, including declarations, attendance logs, shareholding registers, and related party disclosures.
- Assist in keeping compliance and governance policies and charters updated and aligned with applicable laws and best practices under the supervision of the Compliance and Governance Manager.
- Assist in preparing periodic compliance, governance, and risk reports and dashboards for the Compliance and Governance Manager's review, ensuring timely and accurate regulatory filings and disclosures, and assisting in managing responses to regulatory inquiries or inspections.
- Collaborate with business (SGP subsidiaries) units to conduct periodic compliance assessments, identify non compliance risks, and maintain the Compliance Register in alignment with the Compliance Universe.
- Conduct periodic compliance testing and follow up on corrective actions while maintaining organized and secure compliance records.
- Bachelor's degree in law, governance, risk management, finance, accounting, business administration, economics, or a related field.
- Minimum of 3-5 years of relevant experience in corporate governance, compliance, risk management, internal audit, or legal.
- Governance Risk and Compliance Professional (GRCP)
- Certified Compliance Officer (CCO)
- Other relevant compliance, governance, or risk management certifications are a plus.
- Mandatory:
Proven experience working with a listed company under CMA governance and Tadawul listing regulations. - Experience in conducting risk and compliance assessments and preparing reports.
