- Lead the M&A transactions of Linde's US business acquisitions and divestitures (predominantly US based) from a tax perspective, including due diligence and drafting and negotiating stock or asset purchase and sale agreements.
- Identify and evaluate tax structures for transactions that add incremental value or reduce risk; work with stakeholders to determine feasibility.
- Support business in modeling the tax impacts of transactions and various structures.
- Evaluate potential tax risks associated with acquisitions or divestitures, determine if additional reserves are needed and implications of indemnity and/or insurance options.
- Act as the lead tax interface with business unit, legal, corporate accounting, and treasury on transactions to identify interdependencies and related impacts.
- Responsible for integration activities related to post‑close tax matters, including preparation of action plans for post‑close filing obligations, review of pre‑closing period tax returns, preparation of schedules or disclosures required for tax reporting, purchase price allocations, and any other related tax reporting in coordination with tax compliance and reporting team.
- Support and manage tax audit requests related to targets for straddle or pre‑closing periods in accordance with SPA or APA terms.
- 10-12+ years of experience with corporate US federal income tax, including related compliance obligations.
- Strong working knowledge of US federal and state taxes (direct and indirect).
- Experience with M&A transactions and tax issues related to stock and asset purchase transactions, including reorgs, 338 elections, 382 limitations, indemnities, etc.
- Experience reviewing, drafting, and negotiating tax provisions of stock and asset purchase and sale agreements.
- Ability to make risk‑adjusted decisions on diligence matters.
- Proven experience working in cross‑functional teams and developing advocacy positions on technical matters.
- Strong project management skills and ability to manage multiple projects under tight deadlines.
- Strong research and analytical skills; detail oriented; strong written and verbal communication skills.
- Understanding/experience with US GAAP tax reporting/compliance (FIN 48, APB
23). - JD is preferred.

Salary range: $185,000‑$210,000.
