preferably in the Alternative Investment Funds (AIF) and Portfolio Management Services
(PMS) domain.
Key Responsibilities:
Ensure compliance with the Companies Act, SEBI (AIF, PMS) Regulations, and other
applicable laws.
Conduct and manage Board, Committee, and General Meetings; maintain statutory
registers and records.
Draft notices, agendas, resolutions, and minutes; maintain statutory registers and
records.
Handle SEBI filings, PPM reviews, investor onboarding, and scheme-related
approvals.
Provide guidance on matters of corporate governance, Board processes, and
regulatory changes.
Liaise with SEBI, MCA, ROC, custodians, trustees, auditors and other regulatory
bodies.
Maintain compliance calendar and support audits, inspections, and due diligence.
Manage compliance filings such as periodic reports, valuation disclosures, scheme
launch/change approvals, and investor communication.
Serve as the key point of contact between the company and shareholders, investors,
regulators, legal counsel, and internal stakeholders.
Candidate Profile:
Qualified Company Secretary (ACS) with membership number is mandatory; LLB
preferred.
4–10 years of relevant experience.
Prior experience in AIF, PMS, AMC or Investment Management company preferred.
Strong knowledge of SEBI regulations, governance practices, and fund compliance.
Excellent communication, drafting, and coordination skills.
