Position OverviewOverlay Capital is seeking a Director of Fund Accounting to serve as the firm’s internal fund accounting lead across all investment vehicles, including commingled funds and SPVs spanning private credit, infrastructure, real estate, private equity, and venture capital strategies.
This role will act as the primary owner of fund- and SPV-level accounting, reporting, and controls, and as the central relationship manager for outsourced service providers, including OCFO partners, fund administrators, tax advisors, and audit firms.
A critical focus of the role is loan accounting and administration for Overlay’s private credit portfolios, requiring close collaboration with the private credit and asset management teams to ensure accurate loan-level accounting, interest accruals (including PIK), covenant tracking, and cash flow reporting.
This is a highly visible, hands-on role with a clear path to a Controller position as the firm continues to scale, well suited for a candidate seeking increased ownership, leadership responsibility, and long-term growth within a complex investment platform.
Key Responsibilities- Own all fund- and SPV-level accounting and financial reporting across Overlay Capital’s private credit, infrastructure, real estate, private equity, and venture capital strategies, including monthly and quarterly closes, NAV calculations, capital account statements, and GAAP-compliant financial statements.
- Serve as the internal lead for private credit and loan accounting, including interest and fee accruals (cash and PIK), principal tracking, borrowing base calculations, payoff statements, and reconciliation of loan-level activity across accounting, legal, and portfolio monitoring systems.
- Partner closely with the private credit and asset management teams to support draw requests, covenant compliance, repayments, amendments, extensions, restructurings, and workout scenarios, ensuring accurate accounting treatment and timely internal reporting.
- Act as the primary relationship owner for all outsourced service providers, including OCFO partners, fund administrators, loan servicers, tax advisors, auditors, custodians, and trustees; oversee scopes of work, service quality, timelines, and deliverables.
- Oversee capital calls, distributions, management fee and incentive allocation calculations, expense allocations, and fund- and SPV-level cash management, including liquidity planning, forecasting, and reducing cash drag.
- Manage annual audit and tax processes end-to-end, including planning, data delivery, issue resolution, and coordination across internal teams and external providers; ensure timely delivery of financial statements and K-1s.
- Support investor reporting and LP inquiries related to fund- and portfolio-level financials, working in coordination with investment and investor relations teams.
- Maintain oversight of general ledgers, trial balances, and supporting schedules for investment vehicles, ensuring accuracy, consistency, and adherence to governing documents.
- Build, document, and continuously improve fund accounting, loan administration, and internal control processes; partner with leadership on systems selection, data integrity, scalability, and operational best practices as the platform grows.
