Constellation Search Group is looking for a Corporate Associate Attorney for a full-time direct hire position. The Corporate Associate Attorney will engage in a broad range of corporate matters, particularly focusing on mergers and acquisitions, private placements, private equity, and venture capital transactions. This role involves participating in a dynamic team environment that values creativity, integrity, and respect, with a path towards becoming a shareholder and realizing potential professional growth.
Responsibilities- Draft, review, and negotiate a variety of corporate and commercial agreements.
- Manage and support M&A transactions, including due diligence, transaction structuring, and closing processes.
- Advise clients on corporate governance, entity formation, and general business matters.
- Conduct legal research and provide strategic counsel to clients on regulatory and compliance issues.
- Collaborate with internal teams and external advisors across various practice areas.
- Work directly with clients to understand their objectives and cultivate strong and lasting relationships.
- J.D. from an accredited law school with strong academic credentials.
- Licensed to practice in the State of Colorado.
- 2-7 years of experience in corporate law, preferably at a law firm or in-house legal department.
- Demonstrated experience in M&A, private placements, corporate and partnership formation, and private equity, joint venture, and venture capital transactions.
- Excellent drafting, communication, and project management skills.
- Detail-oriented, responsive, and capable of working in a fast-paced environment.
