Corporate Attorney

Constellation Search Group is looking for a Corporate Associate Attorney for a full-time direct hire position. The Corporate Associate Attorney will engage in a broad range of corporate matters, particularly focusing on mergers and acquisitions, private placements, private equity, and venture capital transactions. This role involves participating in a dynamic team environment that values creativity, integrity, and respect, with a path towards becoming a shareholder and realizing potential professional growth.

• Draft, review, and negotiate a variety of corporate and commercial agreements.
• Manage and support M&A transactions, including due diligence, transaction structuring, and closing processes.
• Advise clients on corporate governance, entity formation, and general business matters.
• Conduct legal research and provide strategic counsel to clients on regulatory and compliance issues.
• Collaborate with internal teams and external advisors across various practice areas.
• Work directly with clients to understand their objectives and cultivate strong and lasting relationships.

• J.D. from an accredited law school with strong academic credentials.
• Licensed to practice in the State of Colorado.
• 2-7 years of experience in corporate law, preferably at a law firm or in-house legal department.
• Demonstrated experience in M&A, private placements, corporate and partnership formation, and private equity, joint venture, and venture capital transactions.
• Excellent drafting, communication, and project management skills.
• Detail-oriented, responsive, and capable of working in a fast-paced environment.
