Senior Legal Counsel

Overview

We are looking for an experienced Russian-speaking lawyer specializing in Special Situations complex corporate matters involving shareholder relations control litigation and risk management
. The role requires strategic judgment and hands‑on legal expertise to support decision‑making and ensure alignment within multi‑layered shareholder and holding structures often governed by English law.

• Develop and implement legal strategies to protect shareholder and company interests
• Prepare legal positions procedural documentation and evidence for corporate litigation
• Represent the company in court proceedings and supervise external counsel
• Navigate complex shareholder networks and ensure consistent governance and control
• Draft review and amend shareholder agreements voting and ownership frameworks including those governed by English law
• Establish internal mechanisms for resolving sensitive corporate situations and ensuring compliance
• Advise senior management and shareholders on corporate governance structure and legal risks
• Support restructuring and transformation of ownership and holding chains

• 8 years of experience in corporate law litigation or special situations within holding groups investment firms or financial institutions
• Proven record in shareholder‑related matters and maintaining governance integrity in multi‑jurisdictional structures
• Strong knowledge of corporate commercial and procedural law including practical experience with English law documentation and principles
• Experience managing complex ownership structures and multi‑stakeholder decision‑making
• Fluent in English and Russian
