Summary Statement

This level is the technical and functional expert, responsible for planning and directing the operation of a major corporation section in the Division of Corporations and associated corporate systems.

Essential Functions
  • Reviews and processes legal corporate and Uniform Commercial Code documents; conducts research on UCC holdings, corporate entities formed in Delaware, and documentation related to payments and tax liabilities.
  • Determines if legal requirements are met, identifies corrective actions, and assists clients in meeting legal requirements.
  • Answers questions from attorneys, corporate officials, registered agents, and the public regarding UCC and corporate filings, franchise taxes, and corporate fees; assists in resolving problems.
  • Conducts collection activities for franchise taxes, interest, penalties, corporate and UCC fees.
  • Performs mathematical calculations related to franchise taxes, penalties, interest, and corporate/UCC fees.
  • Uses the Delaware Corporations Information System (DCIS) and imaging system to obtain information and make entries, changes, verifications, and corrections for client service requests.
  • Conducts outreach to customers to ensure accuracy and quality of submitted work.
  • Completes continuing education and learns new laws, regulations, and policies, including sanctions, the Corporate Transparency Act, and Principal Place of Business.
  • Compiles and prepares various reports on workload, processing, refunds, reconciliation of deposits, revenue, new companies, and related metrics.
  • Performs other related duties as required.
Job Requirements
  • Three years’ experience in interpreting business entity or Uniform Commercial Code laws, rules, regulations, standards, policies, and procedures.
  • One year of experience in information systems project management, including planning, scheduling, staffing, coordinating, controlling, monitoring, evaluating, and reporting on status of information systems projects.
  • One year of experience in program administration, such as overseeing and directing development, implementation, and evaluation of programs and services; planning and establishing short‑ and long‑range program goals and objectives; providing advice through consultation.
  • Six months’ experience in operations management, including planning, directing, coordinating, controlling, and evaluating operations, typically through subordinate supervisors.
  • Six months’ experience in developing policies or procedures.
  • Knowledge of strategic planning: planning, mapping, determining key objectives, strategies, activities, and performance measures for a 3‑ to 5‑year horizon.
  • Knowledge of revenue forecasting: examining revenue sources and conditions, analyzing past and present trends, and predicting future revenues.
