Overview

The Senior Contract Manager will report to the Director of Legal Services and will be responsible for supporting the contracting function across all of Sarnova’s business units. The successful candidate will bring a strategic mindset to the review, negotiation, and management of complex commercial agreements, with the ability to assess contractual terms for their commercial and strategic impact on the business.

The Senior Contract Manager will apply strong business acumen to align contract outcomes with business goals and strategies, financial objectives, and operational realities. The successful candidate will also have the ability to think critically and work with other stakeholders across the organization to identify and resolve contract issues.

Office schedule: M-Th Office based, Friday remote

Sarnova is the leading national specialty distributor of health care products in Emergency Medical Services (EMS) and Respiratory Markets and is the industry leader in Revenue Cycle Management within Emergency Medical Services (EMS). The company operates through several market-leading companies including Tri-anim Health Services, the largest specialty distributor of respiratory products, Bound Tree Medical, the largest supplier of EMS products, EMP and Cardio Partners, a full Sudden Cardiac Arrest Solution provider, and Digitech, the leader in EMS revenue cycle management.

Responsibilities

Summary:

The Senior Contract Manager will report to the Director of Legal Services and will be responsible for supporting the contracting function across all of Sarnova’s business units. The successful candidate will bring a strategic mindset to the review, negotiation, and management of complex commercial agreements, with the ability to assess contractual terms for their commercial and strategic impact on the business.

The Senior Contract Manager will apply strong business acumen to align contract outcomes with business goals and strategies, financial objectives, and operational realities. The successful candidate will also have the ability to think critically and work with other stakeholders across the organization to identify and resolve contract issues.

Essential Duties and Responsibilities:

  • Independently review, draft, negotiate and manage a wide range of contracts (e.g., customer supply agreements, confidentiality agreements, consulting agreements, master services agreements, distribution agreements, amendments, purchase orders).
  • Maintain and periodically update, in collaboration with attorneys, the library of contract templates, legal playbooks, contract clause library, riders and alternative provisions.
  • Maintain and track all contracts and applicable files through the company’s contracts database.
  • Administer and track contract lifecycle. Design, develop and maintain ongoing improvements to the contract management process and procedures, in conjunction with sales and operations counterparts.
  • Ensures contracts accurately convey business terms while protecting the company’s interests.
  • Advise and troubleshoot on existing agreements under the supervision of attorneys.
  • Define and prioritize risks and be able to communicate those risks to appropriate internal decision-makers for discussion and resolution.
  • Support contract operations and enforce data integrity by performing quality check and audits of archived contracts to ensure data is captured and properly tracked.
  • Manage contract execution with tools such as Docu Sign.
  • Clean up and track historical contracts to ensure contract repository is up to date and accessible to all relevant users.
  • Develop governance to implement contract template changes and process change requests.
  • Partner with relevant internal stakeholders to identify opportunities to improve contracting process effectiveness and efficiency.

Skills/Experience

Required:

  • BS/BA degree and 5 or more years of relevant contract management and/or legal operations experience.
  • Demonstrated experience in contract drafting, negotiation, and contract lifecycle management.
  • Strong computer skills with a working knowledge of MS Office (Outlook, Word, Excel, Teams), Docu Sign, and Adobe.
