Senior Attorney
The Senior Attorney owns and applies legal concepts, policies and procedures of the legal profession and the legal department. Performs legal assignments that are varied, difficult and important, including assuming primary responsibility for assigned areas. Collaborates with others within and outside OCLC on a wide range of subjects. Handles all legal projects in a timely, management responsive manner, consistent with the highest level of legal quality.
Responsibilities- Plans, participates in, directs and executes assigned legal activities, including complex nature.
- Interprets laws and regulations governing OCLC, including antitrust, personnel, environmental and other regulated areas.
- Prepares and negotiates agreements, contracts and other third‑party arrangements that create rights and/or duties of OCLC, including purchasing and licensing agreements, real estate matters, and other matters.
- Reviews, comments and makes recommendations to the Vice President, General Counsel concerning company policies which have legal implications; participates in management committees to advise and recommend legal aspects of operating and policy matters.
- Partners with outside counsel where necessary and maintains proper liaison and supervision of outside counsel.
- Obtains intellectual property protection for patent, copyright, trademark or other IP rights of the company and works to ensure protection of those rights.
- Provides guidance and participates in litigation involving OCLC and its affiliates; provides legal counsel in connection with claims and controversies.
- J.D. or L.L.B. degree.
- Not less than five years of professional experience in public or private legal practice.
- Member of the Ohio Bar.
- Additional professional experience.
- Superior analytical, drafting, and research skills.
- Ability to manage heavy workload and work a minimum 45‑hour week.
